The old song title "Breaking Up Is Hard to Do" should be our theme this month.

More than ever, older partnerships and LLCs are experiencing partners who want to exit due to death, ill health, financial need or other reasons. Jeff Curtis from Sensiba LLP and Steve Wilson from Haynes and Boone will survey common obstacles and challenges within existing partnership or LLC agreements and compare several exit strategies, including internal restructure, "synthetic" DST conversion, and drop and swap/swap and drop approaches.

Steve Wilson – Real Estate Senior Counsel at Haynes and Boone LLP

Steve Wilson is a senior counsel in the Real Estate Practice Group in Haynes Boone's San Francisco office. His practice focuses on complex, value-added urban mixed-use projects and joint ventures, with recent focus on project planning in Qualified Opportunity Zones. Another longtime focus of Steve's is assisting nonprofit or charitable organizations (including religious organizations) seeking to monetize their land holdings in a way that incorporates a charitable or public benefit. Steve's clients routinely comment that he is "their other partner."

Jeff Curtis – Senior Tax Manager at Sensiba LLP

With over fifteen years of accounting experience, Senior Tax Manager Jeff Curtis specializes in tax compliance and planning, real estate transactions, and flow-through entities. Jeff works with clients in the real estate and construction industries as well as high-net-worth individuals. He has experience assisting clients with cost segregation, performance management, and multi-state tax issues. Jeff received a bachelor's degree in economics and political science from UC Davis and a master's degree in taxation from Golden Gate University. He is a licensed CPA in California and a member of AICPA and CalCPA, and serves on the CalCPA's East Bay Chapter Board of Directors. Outside of work, Jeff enjoys cooking, playing soccer, and traveling.
